Abstract [sv]

Bakgrund: Ett nytt EU-direktiv, med namn Corporate Sustainability Reporting Directive, antogs den 31 juli 2023 och ställer högre krav på transparens och ansvarsskyldighet. Dubbel väsentlighetsanalys är även en central del av det nya direktivet. Företag måste numera redovisa för den påverkan som deras verksamhet gör på miljö och samhälle. Detaljhandeln som har stor klimatpåverkan, på grund av deras bland annat omfattande leveranskedjor och avfallsproduktion, kommer att behöva bli mer öppna med sin rapportering och identifiera väsentliga hållbarhetsfrågor och förbättringsområden för att kunna anpassa sig till nya omständigheter. Det bildas därav osäkerheter kring hur företagen kommer att kunna införa de nya kraven från CSRD för att bli så legitima som möjligt med hjälp av en transparent hållbarhetsrapportering.

Syfte: Syftet med denna studie är att få en förståelse för hur företag organiserar sitt arbete för att uppnå en mer transparent hållbarhetsredovisning i enlighet med CSRD:s nya krav. Studien utgår från att analysera hur detaljhandelsföretag anpassar och utvecklar sina arbetssätt för att bemöta kraven för en transparent hållbarhetsredovisning och uppnå legitimitet. Studien avgränsas till detaljhandelsföretag med fysisk handel, eftersom flera av dessa kan komma att omfattas av det nya direktivet. Det blir således viktigt att undersöka denna bransch för att bidra till att öka transparensen i samhället och främja hållbar utveckling.

Teoretisk referensram: Den teoretiska referensramen presenterar de centrala begreppen och legitimitetsteorin som studien bygger på. Studiens utgångspunkt är CSRD, mer specifikt den dubbla väsentligheten och transparens. Transparensen består av tre aspekter, vilka är noggrannhet, tydlighet och tillhandahållande av information, som sätter sin prägel på hur studiens teoretiska referensram ser på det nya direktivet. Den teoretiska referensramen bildar grunden för att studiens syfte och frågeställning ska kunna besvaras.

Metod: Studien kommer att använda en kvalitativ metod eftersom den möjliggör att samla in nyanserad och detaljerad information från studiens respondenter. Det är med hjälp av semistrukturerade intervjuer som den empiriska datan kommer att samlas in, där chansen till följdfrågor finns, vilket ger en djupare förståelse av respondenternas svar. Den empiriska datan kommer sedan att analyseras med hjälp av en tematisk analys.

Slutsats: Studien har gett kunskap om hur företagens legitimitet kan stärkas genom ansträngningar för att bli transparenta i sin redovisning. Förväntan ligger i att om företagens rapportering är detaljerad, lättillgänglig, lättbegriplig och relevant, kan det bidra till att de uppfattas som mer legitima av samhället.

Abstract [en]

Background: A new EU directive, called the Corporate Sustainability Reporting Directive has been introduced and sets more stricter demands on companies to be more transparent. Double materiality analysis is a central part of the new directive. Companies, including retail companies covered by the directive are now required to report both their impact on the environment and society, and also how their financial position is affected by sustainability-related opportunities and risks. There are uncertainties regarding how the companies should proceed to meet CSRD's requirements and at the same time be perceived as legitimate by the society.

Purpose: The purpose of this study is to gain an understanding of how companies organize their sustainability reporting to achieve more transparency in accordance with the new CSRD requirements. The study is based on analyzing how retail companies adapt and develop their working methods to meet the requirements for transparent sustainability reporting and achieve legitimacy. This study is limited to the retail sector with physical stores. It is an industry with a large environmental impact and it is therefore interesting to investigate how these companies in particular can increase transparency towards society and promote sustainable development now that it will be covered by a new directive.

Theoretical framework:

Provides a description of the new directive, CSRD, the concept of double materiality and the theory on which this study is based. Transparency is a central element of CSRD and has been divided into three dimensions, accuracy, clarity and provision of information, which permeate this entire study. Legitimacy theory will be used to understand how companies strategically frame their sustainability and financial reporting to be perceived as legitimate. Therefore, the theoretical framework is the basis for answering both the question and the purpose of this study.

Method:

The aim of the study is to understand how retail companies in Sweden organize their sustainability reporting to establish legitimacy, with a focus on meeting the transparency requirements of the CSRD. The study has been based on a qualitative research method, more specifically semi-structured interviews. The empirical data has been analyzed using a thematic analysis.

Conclusion: The conclusion was that the retail companies legitimacy can be strengthened through efforts to become transparent in their reporting. This is expected to happen when sustainability reporting becomes more detailed, easily accessible, easy to understand and has relevant information for the company's stakeholders.
